Services Description

Describes the features, scope, and limitations of the Cynad platform.

1. Overview

Cynad is a software platform operated by Tiger Hill Limited that supports fund managers with investor relationship management, fund administration workflows, and investor reporting. This Services Description is incorporated by reference into the Master Services Agreement and is versioned by date of publication.

2. Features in scope

(a) Investor CRM — records, communications, opportunity tracking.

(b) Virtual data room (VDR) — document hosting with granular access controls.

(c) eSubscription — digital subscription and onboarding flow for investors.

(d) Investor Portal — read-only view for LPs of their fund positions, documents, and statements.

(e) Capital-activity tracking — capital calls, distributions, capital-account maintenance.

(f) Performance reporting — dashboards and periodic statements.

3. Customer inputs

Customer is responsible for providing accurate and current data into the Services, including but not limited to:

• Fund structure information (entity names, vehicles, series, classes).

• Investor records (name, contact, commitment amounts, ownership).

• Capital activity events (calls, distributions, transfers).

• Documents and communications uploaded into the VDR or sent through the CRM.

4. Outputs

The Services produce the following categories of output based on Customer inputs:

• Capital-call and distribution notices (generated from templates).

• Capital-account statements.

• Performance reports and dashboards.

• Subscription document packages.

• Investor communications and updates.

5. Not in scope

The Services do not include, and are not a substitute for, the following. Customer remains responsible for engaging appropriate service providers where required:

(a) Authoritative fund-administration record-keeping. Customer's own fund administrator, auditor, or transfer agent maintains the authoritative books and records.

(b) Custody of assets. Cynad does not hold cash, securities, or other assets.

(c) Transfer-agent services.

(d) Tax preparation or tax advice. Any tax-form output (such as K-1s or equivalents) is informational and must be reviewed by Customer's own tax adviser before filing or distribution.

(e) Legal or investment advice.

(f) Execution of securities transactions.

6. Support

Support is provided by email at support@cynad.com during Tiger Hill's support hours (09:00 to 17:00 UTC, Monday to Friday, excluding public holidays). Response targets, if any, are as agreed in the applicable Order Form. No uptime service level is committed under this Services Description or the MSA.

7. Versioning

This Services Description is versioned by date of publication. Prior versions remain accessible at the bottom of the current version of this page. Customers on an active Order Form remain bound by the version in effect on the Effective Date of their Order Form unless otherwise agreed or until a successor version takes effect in accordance with Section 13.2 of the MSA.
